Answer 13 - Company secretary is KEY MANAGERIAL PERSONNEL one of the important personality in the company . A company secretary is a senior position in any public or private organisation placed at the top most level of the organisation's hierarchy . The company secretary is responsible for regulating and efficiently managing the financial, legal and statutory requirements.

     In India, the institute which regulates the profession of a  CS is ICSI ( INSTITUTE OF COMPANY SECRETARIES OF INDIA) . The institute was established in 1980 under the company secretaries Act . It is headquartered in New Delhi with its regional offices located in New Delhi , Chennai, Kolkata and Mumbai.

RESPONSIBILITIES OF COMPANY SECRETARY

   1. Create policies for the company.

   2. Manage mergers and Acquisition.

   3. Maintain company records and annual accounts.

  4. Intermediate between the company and board of directors.

  5. To take care of public interest.

  6. Negotiate with legal parties such as Regulators, lawyers and Auditors.

  7. He works as an agent of the company.

  8. He can report to central government when company doing fraudulent practices. 

  9. He arrange meetings and maintain the minutes of these meeting.

 10. To ensure that the company complies with the applicable secretarial standards.
